Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and VISIONARY CREATORS LTD ("Company", "we", "us", or "our"), concerning your access to and use of the website visionarycreators.co.uk as well as any related services, including content creation, brand strategy, UGC management, and paid media management (collectively, the "Services").

By accessing or using the Services, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and you must discontinue use immediately.

2. Company Information

VISIONARY CREATORS LTD is a company registered in England and Wales. All services are provided by VISIONARY CREATORS LTD unless otherwise stated in a separate written agreement.

3. Services

VISIONARY CREATORS LTD provides brand growth services including but not limited to:

• Social media content creation and management
• UGC (User-Generated Content) creator sourcing, briefing, and management
• Modular advertisement creative production
• Paid media campaign management (Meta, TikTok)
• Brand strategy and consulting
• Executive authority and thought-leadership content

The specific scope of Services shall be agreed upon between the parties prior to commencement and outlined in a separate service agreement or proposal.

4. Payment Terms

All fees for Services are due in advance on a monthly basis unless otherwise agreed in writing. Payments are non-refundable once the billing period has commenced. Late payments may incur an additional charge of 2% per month on outstanding balances.

Prices are quoted in USD unless otherwise stated. VISIONARY CREATORS LTD reserves the right to adjust pricing with 30 days' written notice.

5. Intellectual Property

Client Content: You retain ownership of all pre-existing intellectual property, brand assets, logos, and materials you provide to us.

Deliverables: Upon full payment, ownership of the final approved deliverables transfers to you. We retain the right to use completed work in our portfolio and marketing materials unless explicitly excluded in writing.

Our Tools & Processes: VISIONARY CREATORS LTD retains full ownership of all proprietary methodologies, templates, systems, and processes used in the delivery of Services.

6. Content Usage Rights

For UGC and creator-produced content, usage rights are negotiated on a per-creator basis. Standard usage rights include organic and paid digital use for 12 months from delivery unless otherwise stated. Extended usage, whitelisting, or exclusivity arrangements require separate agreements and may incur additional fees.

7. Limitation of Liability

VISIONARY CREATORS LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Services
• Any changes made to advertising platform algorithms or policies
• Advertising account suspensions or restrictions imposed by third-party platforms
• Performance of paid media campaigns, as results cannot be guaranteed

Our total liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.

8. Cancellation & Termination

Either party may terminate a monthly retainer service agreement with 15 days' written notice prior to the next billing cycle. Upon termination, any work completed up to the date of termination will be delivered. No refunds will be issued for the current billing period once work has commenced.

VISIONARY CREATORS LTD reserves the right to terminate services immediately if the Client engages in abusive conduct, fails to make payment within 14 days of the due date, or requests content that violates applicable law.

9. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information disclosed during the course of the engagement. This includes but is not limited to business strategies, ad performance data, pricing structures, and creative methodologies. This obligation survives termination of the agreement.

10. Disclaimer

The Services are provided on an "as is" and "as available" basis. VISIONARY CREATORS LTD makes no guarantees regarding specific marketing outcomes, advertising performance metrics, follower growth, or revenue generation. Past performance data shared on this website or in marketing materials is illustrative and does not guarantee future results.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

VISIONARY CREATORS LTD reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
